CAC Set to Delist More Non-Compliant Companies

The Corporate Affairs Commission (CAC) has initiated a fresh round of company delistings as part of its ongoing efforts to enforce compliance with the Companies and Allied Matters Act (CAMA) 2020.

In an official statement released by the Commission, the names of affected companies have been published on the CAC’s website. The public and concerned entities are advised to consult the published list to verify the status of any registered business.

The Commission warned that any company that fails to update its statutory filings—including annual returns and information on persons with significant control (PSC)—within 90 days from the date of publication will be struck off the register. The move is in line with the enforcement powers granted under Section 692(3) and (4) of CAMA 2020.

“It is unlawful for any business entity that has been struck off to continue operations, as such companies cease to exist legally and forfeit the right to use their registered identities,” the statement read.

This follows a similar action taken on November 20, 2024, when the Commission issued a notice of intention to deregister companies deemed inactive or dormant due to non-filing of annual returns for over a decade. A statutory grace period of 90 days was granted for compliance, during which companies were advised to regularize their filings and contact the CAC via activation@cac.gov.ng.

Companies that met the compliance requirements have since been removed from the deregistration list. However, those that failed to act have now been formally delisted in accordance with Section 692(4) of the Act.

This latest enforcement underscores the CAC’s commitment to sanitizing the corporate registry and ensuring only legally compliant entities operate within Nigeria’s formal business ecosystem.
